  1. VladCo End-User Software License Agreement
  2. ============================================
  3.  
  4. PLEASE READ THIS DOCUMENT CAREFULLY.  BY DOWNLOADING THE
  5. SOFTWARE, YOU ARE AGREEING TO BECOME BOUND BY THE TERMS OF
  6. THIS AGREEMENT.  IF YOU DO NOT AGREE TO THE TERMS OF THE
  7. AGREEMENT, PLEASE DO NOT DOWNLOAD THE SOFTWARE.
  8.  
  9. This is a legal agreement between you and VladCo Computers. and
  10. its subsidiaries ("VladCo").  This Agreement states the terms and
  11. conditions upon which VladCo offers to license the software
  12. downloaded from this website together with all related documentation
  13. and accompanying items including, but not limited to, the executable
  14. programs, drivers, libraries and data files associated with such
  15. programs (collectively, the "Software").
  16.  
  17. LICENSE
  18. 1. Grant of License.    
  19. The Software is licensed, not sold, to you for use only under the
  20. terms of this Agreement.  This License Agreement is your proof of
  21. license to exercise the rights granted herein and must be retained by
  22. you.  As between you and  VladCo (and, to the extent applicable, its
  23. licensors),  VladCo retains all title to and ownership of the
  24. Software and reserves all rights not expressly granted  to you.
  25. VladCo grants to you the right to use all or a portion of this
  26. Software provided that (a) the Software is not distributed for profit;
  27. (b) the Software is used only in conjunction with VladCo's family of
  28. products; (c) the Software may NOT be modified; (d) all copyright
  29. notices are maintained on the Software; and (e) the licensee/end user
  30. agrees to be bound by the terms of this Agreement.

  32. 2. For Use on a Single Computer. 
  33. The Software may be used only on a single computer by a single user at
  34. any time.  You may transfer the machine-readable portion of the Software
  35. from one computer to another computer, provided that (a) the
  36. Software (including any portion or copy thereof) is erased from the
  37. first computer, and (b) there is no possibility that the Software will
  38. be used on more than one computer at a time.
  39.  
  40. 3. Stand-Alone Basis. 
  41. You may use the Software only on a stand-alone basis, such  that the
  42. Software and the functions it provides are  accessible only to persons
  43. who are physically present at  the location of the computer on which
  44. the Software is  loaded.  You may not allow the Software or its
  45. functions  to be accessed remotely, or transmit all or any portion of
  46. the Software through any network or communication line.
  47.  
  48. 4. Copyright. 
  49. The Software is owned by VladCo and is protected by United States
  50. copyright laws and international treaty provisions. You may not remove
  51. the copyright notice from any copy of the Software or any copy of the
  52. written materials, if any, accompanying the Software.
  53.  
  54. 5. One Archival Copy. 
  55. You may make one (1) archival copy of the machine-readable portion of
  56. the Software for backup purposes only in support of your use of the
  57. Software on a single computer, provided that you reproduce on the copy
  58. all copyright and other proprietary rights notices included on the
  59. originals of the Software.
  60.  
  61. 6. No Merger or Integration. 
  62. You may not merge any portion of the Software into, or  integrate any
  63. portion of the Software with, any other  program, except to the extent
  64. expressly permitted by the  laws of the jurisdiction where you are
  65. located.  Any portion  of the Software merged into or integrated with
  66. another  program, if any, will continue to be subject to the terms
  67. and conditions of this Agreement, and you must reproduce on the merged
  68. or integrated portion all copyright and other  proprietary rights
  69. notices included on the originals of the  Software.
  70.  
  71. 7. Network Version. 
  72. If you have purchased a "network" version of the Software, this
  73. Agreement applies to the installation of the Software on a single
  74. "file server."  It may not be copied onto multiple systems.  Each
  75. "node" connected to the "file server" must also have its own license
  76. of a "node copy" of the Software, which becomes a license only for
  77. that specific "node."
  78.  
  79. 8. Transfer of License. 
  80. You may not transfer your license of the Software to a third party.
  81.  
  82. 9. Limitations on Using, Copying, and Modifying the Software. 
  83. Except to the extent expressly permitted by this Agreement or  by the
  84. laws of the jurisdiction where you acquired the  Software, you may not
  85. use, copy or modify the Software.  Nor  may you sub-license any of
  86. your rights under this Agreement.
  87.  
  88. 10. Decompiling, Disassembling, or Reverse Engineering. 
  89. You acknowledge that the Software contains trade secrets and  other
  90. proprietary information of VladCo and its licensors.   Except to the
  91. extent expressly permitted by this Agreement or  by the laws of the
  92. jurisdiction where you are located, you  may not decompile,
  93. disassemble or otherwise reverse engineer  the Software, or engage in
  94. any other activities to obtain  underlying information that is not
  95. visible to the user in  connection with normal use of the Software. In
  96. particular, you agree not for any purpose to transmit the Software or
  97. display the Software's object code on any computer screen or to make
  98. any hard copy memory dumps of the Software's object code.  If you
  99. believe you require information related to the interoperability of the
  100. Software with other programs, you shall not decomplile or disassemble
  101. the Software to obtain such information, and you agree to request such
  102. information from VladCo at the address listed below.  Upon receiving
  103. such a request, VladCo shall determine whether you require such
  104. information for a  legitimate purpose and, if so, VladCo will
  105. provide such information to you within a reasonable time and on
  106. reasonable conditions.  In any event,  you will notify VladCo of any
  107. information derived from  reverse engineering or such other
  108. activities, and the results  thereof will constitute the confidential
  109. information of  VladCo that may be used only in connection with the
  110. Software.
  111.  
  112. TERMINATION
  113. The license granted to you is effective until terminated.  You may
  114. terminate it at any time by destroying the Software (including any
  115. portions or copies thereof) currently in your possession or control.
  116. The license will also terminate automatically without any notice from
  117. VladCo if you fail to comply with any term or condition of this
  118. Agreement.  You agree upon any such termination to destroy the
  119. Software (including any portions or copies thereof).  Upon
  120. termination, VladCo may also enforce any and all rights provided by
  121. law.  The provisions of this Agreement that protect the proprietary
  122. rights of VladCo will continue in force after termination.
  123.  
  124. NO WARRANTY 
  125. ANY USE BY YOU OF THE SOFTWARE IS AT YOUR OWN RISK.  THE
  126. SOFTWARE IS PROVIDED FOR USE ONLY WITH VLADCO'S SOFTWARE. 
  127. THE SOFTWARE IS PROVIDED FOR USE "AS IS" WITHOUT WARRANTY OF ANY KIND. 
  128. TO THE MAXIMUM EXTENT
  129. PERMITTED BY LAW, VladCo DISCLAIMS ALL WARRANTIES OF ANY
  130. KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT
  131. LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF
  132. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
  133. VladCo IS NOT OBLIGATED TO PROVIDE ANY UPDATES OR UPGRADES
  134. TO THE SOFTWARE.
  135.  
  136. No distributor, dealer or any other entity or person is authorized to
  137. expand or alter this warranty or any other provisions of this
  138. Agreement. VladCo does not warrant that the functions contained in
  139. the Software will meet your requirements or that the operation of the
  140. Software will be uninterrupted or error-free.  Any representation,
  141. other than the warranties set forth in this Agreement, will not bind
  142. VladCo.  You assume full responsibility for the selection of the
  143. Software to achieve your intended results, and for the downloading,
  144. use and results obtained from the Software.  You also assume the
  145. entire risk as it applies to the quality and performance of the
  146. Software.  Should the Software prove defective, you (and not VladCo,
  147. or its distributors or dealers) assume the entire cost of all
  148. necessary servicing, repair or correction.
  149.  
  150. This warranty gives you specific legal rights, and you may also have
  151. other rights which vary from country/state to country/state.  Some
  152. countries/states do not allow the exclusion of implied warranties, so
  153. the above exclusion may not apply to you.  VladCo disclaims all
  154. warranties of any kind if the Software was customized, repackaged or
  155. altered in any way by any third party other than VladCo.
  156.  
  157. NO LIABILITY FOR DAMAGES, INCLUDING WITHOUT LIMITATION CONSEQUENTIAL
  158. DAMAGES
  159. In no event shall VladCo or its Licensor's be liable for any damages
  160. whatsoever (including, without limitation, incidental, direct,
  161. indirect, special or consequential damages, damages for loss of
  162. business profits, business interruption, loss of business information,
  163. or other pecuniary loss) arising out of the use or inability to use
  164. this Software, even if VladCo or its Licensor's  have been advised
  165. of the possibility of such damages.  Because some states/ countries do
  166. not allow the exclusion or limitation of liability for consequential
  167. or incidental damages, the above limitation may not apply to you.
  168.  
  169. INDEMNIFICATION BY YOU
  170. If you distribute the Software in violation of this Agreement, you
  171. hereby indemnify, hold harmless and defend VladCo from and against
  172. any and all claims or lawsuits, including attorney's fees and costs
  173. that arise, result from or are connected with  the use or distribution
  174. of the Software in violation of this Agreement.
  175.  
  176. U.S. GOVERNMENT RESTRICTED RIGHTS
  177. All Software and related documentation are provided with restricted
  178. rights. Use, duplication or disclosure by the U.S. Government is
  179. subject to restrictions as set forth in subdivision (b)(3)(ii) of the
  180. Rights in Technical Data and Computer Software Clause at 252.227-7013.
  181. If you are sub-licensing or using the Software outside of the United
  182. States, you will comply with the applicable local laws of your
  183. country, U.S. export control law, and the English version of this
  184. Agreement.

  193. GENERAL
  194. This Agreement is binding on you as well as your employees, employers,
  195. contractors and agents, and on any successors and assignees.  Neither
  196. the Software nor any information derived therefrom may be exported
  197. except in accordance with the laws of the U.S. or other applicable
  198. provisions.  This Agreement is governed by the laws of the State of
  199. California (except to the extent federal law governs copyrights and
  200. federally registered trademarks). This Agreement is the entire
  201. agreement between us and you agree that VladCo will not have any
  202. liability for any untrue statement or representation made by its, its
  203. agents or anyone else (whether innocently or negligently) upon which
  204. you relied upon entering this Agreement, unless such untrue statement
  205. or representation was made fraudulently.  This Agreement supersedes
  206. any other understandings or agreements, including, but not limited to,
  207. advertising, with respect to the Software.

  209. If any provision of this Agreement is deemed invalid or unenforceable
  210. by any country or government agency having jurisdiction, that
  211. particular provision will be deemed modified to the extent necessary
  212. to make the provision valid and enforceable, and the remaining
  213. provisions will remain in full force and effect.
  214.

  219.  
  220. SPECIAL PROVISIONS APPLICABLE TO THE EUROPEAN UNION
  221. If you downloaded the Software in the European Union (EU), the
  222. following provisions also apply to you. If there is any inconsistency
  223. between the terms of the Software License Agreement set out above and
  224. the following provisions, the following provisions shall take
  225. precedence.

  227. Decompilation:
  228. You agree not for any purpose to transmit the Software or display the
  229. Software's object code on any computer screen or to make any hard copy
  230. memory dumps of the Software's object code. If you believe you require
  231. information related to the interoperability of the Software with other
  232. programs, you shall not decompile or disassemble the Software to
  233. obtain such information, and you agree to request such information
  234. from VladCo at the address listed above. Upon receiving such a
  235. request, VladCo shall determine whether you require such information
  236. for a legitimate purpose and, if so, VladCo will provide such
  237. information to you within a reasonable time and on reasonable conditions.
  238.  
  239. Limited Warranty:
  240. EXCEPT AS STATED ABOVE IN THIS AGREEMENT, AND AS PROVIDED
  241. BELOW UNDER THE HEADING "STATUTORY RIGHTS", THE SOFTWARE IS
  242. PROVIDED AS-IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS
  243. OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED
  244. WARRANTIES OR CONDITIONS OF MERCHANTABILITY, QUALITY AND
  245. FITNESS FOR A PARTICULAR PURPOSE
  246.  
  247. Limitation of Remedy and Damages:
  248. THE LIMITATIONS OF REMEDIES AND DAMAGES IN THE SOFTWARE
  249. LICENSE AGREEMENT SHALL NOT APPLY TO PERSONAL INJURY
  250. (INCLUDING DEATH) TO ANY PERSON CAUSED BY VladCo'S
  251. NEGLIGENCE AND ARE SUBJECT TO THE PROVISION SET OUT BELOW
  252. UNDER THE HEADING "STATUTORY RIGHTS".
  253.  
  254. Statutory rights:
  255. Irish law provides that certain conditions and warranties may be
  256. implied in contracts for the sale of goods and in contracts for the
  257. supply of services. Such conditions and warranties are hereby
  258. excluded, to the extent such exclusion, in the context of this
  259. transaction, is lawful under Irish law. Conversely, such conditions
  260. and warranties, insofar as they may not be lawfully excluded, shall
  261. apply. Accordingly nothing in this Agreement shall prejudice any
  262. rights that you may enjoy by virtue of Sections 12, 13, 14 or 15 of
  263. the Irish Sale of Goods Act 1893 (as amended).
  264.  
  265. General:
  266. This Agreement is governed by the laws of the Republic of Ireland. 
  267. The local language version of this agreement shall apply to Software
  268. downloaded in the EU. This Agreement is the entire agreement between
  269. us and you agree that VladCo will not have any liability for any
  270. untrue statement or representation made by it, its agents or anyone
  271. else (whether innocently or negligently) upon which you relied upon
  272. entering this Agreement, unless such untrue statement or
  273. representation was made fraudulently.
